Aon
Improving client access to risk capital to help unlock value is a core priority for Aon. Achieving this in a turbulent M&A cycle requires dexterity across a diverse range of insurance products, often thinking outside the traditional deal insurance box.
Our highlights include innovating on a stalled LP-led transaction with a part synthetic/part-conventional W&I policy, adapting an adjacent credit solution to facilitate NAV financing for a GP and applying a direct real estate technique to create a de facto portable capital structure on a landmark hotel deal to 'futureproof' the investment.
Digging deeper, we saw (vs prior period):
- a 5% deal volume increase (264 M&A deals) plus a 12% increase in M&A insurance limits placed ($16bn), despite a declining M&A market.
- an 8x multiple increase in take-up of ACRES, our proprietary real estate solution, enabling clients to access $633mn in combined W&I and title limits (a 240% increase)
- doubling deal volume in WinXS, our exclusive, streamlined W&I excess facility, to over 2 dozen, and trebling the amount of W&I capacity secured through WinXS for clients to over $900mn
We remain focused on the flip side of M&A insurance broking – claims recovery – securing $70mn of paid claims for European clients in 2024, including a £2.3mn pay-out for a UK mid-market PE firm in Q4-24 to help protect value-on investment for one of its portcos.
BMS Group
Over the past year, BMS has demonstrated consistent, high-level engagement in the Warranty & Indemnity (W&I) insurance space, with more than 75% of our clients involved in 11 or more W&I-backed transactions in that time, BMS is clearly embedded in the market's most active dealmakers.
We bring value early in the transaction lifecycle by facilitating alignment between buy- and sell-side stakeholders—particularly important as only 17% of policies are initiated by the buy-side alone. This proactive, collaborative approach helps ensure smoother placement and better outcomes for all parties.
Clients consistently highlight our ability to secure terms with broad initial coverage — cited by 80% of respondents as the most important factor in insurer selection. BMS’ relationships with insurers known for commercial and pragmatic claims handling further strengthen our offering.
BMS has rapidly established itself as a leading player in the secondaries market, combining technical excellence with a highly commercial approach. Leveraging deep expertise across transactional risk and complex fund structures, BMS has become a go-to advisor for GP-led and LP-led transactions alike.
With a reputation built on market insight, responsiveness, and trusted execution, BMS is a strategic partner in navigating W&I insurance with precision and confidence.
